ධම්මික රුපියල් බිලියන 12.5කට සිංගර් ශ්රී ලංකා මිලට ගැනීමට තීන්දු කරයි

ශ්රී ලංකාවේ ප්රමුඛතම හා පැරණිම පාරිභෝගික භාණ්ඩ කර්මාන්තයේ නිරත සමාගමක් වන සිංගර් ශ්රී ලංකා හි බහුතර කොටස් අයිතිය මිල දී ගැනීමට ශ්රී ලංකාවේ තවත් දැවැන්ත සමාගම් සමූහයක් වන හේලීස් ඉදිරිපත් වී තිබේ.
මේ සම්බන්ධ අවසාන තීන්දුවට සමාගම් ද්විත්වය විසින් අද (13) සවස් භාගයේ දී පැමිණ ඇත. ඒ අනුව සිංගර් ශ්රී ලංකා සමාගමේ බහුතර කොටස් හිමියා වන Retail Holdings (Sri Lanka) BV සතු ඡන්ද බලය හිමි සාමාන්ය කොටස් 231,864,362 ක් මිල දී ගැනීමට හේලීස් සමූහය තීරණය කර තිබේ. එය සිංගර් ශ්රී ලංකා හි සමස්ත කොටස් ප්රාග්ධනයෙන් 61.73% කි. එහිදී එක් කොටසකට රු. 47.00 ගෙවීමට හේලීස් සමූහය සූදානම් අතර ඒ අනුව මෙම ගනුදෙනුවේ වටිනාකම රු. 10,897,625,014.00 ක් වේ.
Retail Holdings (Sri Lanka) BV සමාගම, සිංගර් ශ්රී ලංකා හි සමස්ත කොටස් ප්රාග්ධනයෙන් 71.19% කට හිමිකම් කියනු ලබන අතර පෙර කී ගනුදෙනුවෙන් පසු තවදුරටත් සිංගර් ශ්රී ලංකා හි කොටස් 35,562,883 කට ඔවුන් හිමිකම් කියනු ඇත.
කෙසේ වෙතත් හේලීස් පීඑල්සී හි සභාපති/ ප්රධාන විධායක, මොහාන් පණ්ඩිතගේ මහතා විසින් කොළඹ කොටස් වෙළෙඳපොළ වෙත දැනුම් දී සිටින්නේ ඉදිරි මාස 12 – 15 ක කාලයක් තුළ දී මෙම ඉතිරි කොටස් 35,562,883 ද මිල දී ගැනීමට හේලීස් සමූහය සූදානමින් පසුවන බවයි.
මේ අනුව හේලීස් - සිංගර් ශ්රී ලංකා ගනුදෙනුවේ සමස්ත වටිනාකම රුපියල් 12,569,080,515.00 කි.
හේලීස් සමාගමේ බහුතර කොටස් අයිතිය මෙරට ප්රකෝටිපති ව්යාපාරික ධම්මික පෙරේරා මහතා සතුවන අතර එය තම නමින් සහ තම සමාගම්වලට අයිති හේලීස් කොටස්වල එකතුව අනුව 50% ඉක්මවා තිබේ.

සිංගර් ශ්රී ලංකා පීඑල්සී හි 61.73% ක කොටස් අයිතිය අද (15) පෙරවරුවේ දී මෙරට ප්රකෝටිපති ව්යාපාරික ධම්මික පෙරේරා මහතා බහුතර කොටස් අයිතිය දරනු ලබන හේලීස් පීඑල්සී විසින් මිල දී ගනු ලැබීය.
මේ සඳහා හේලීස් පීඑල්සී විසින් එක් කොටසකට රු. 47.00 බැගින් ගෙවනු ලැබූ අතර මිල දී ගත් කොටස් ප්රමාණය 231,864,362 කි.
මෙම ගනුදෙනුවේ වටිනාකම රුපියල් බිලියන 10.89 කි (10,897,625,014.00).

?Can some one in the know explain. One such explanation would be that Retail Holdings (Sri Lanka) BV is a company handling investments on behalf of foreign individuals.

Well informed sources said that the next exit would possibly be from Bangladesh although no arrangements have been made up to now.
Hard on the heels of the acquisition of control on the Colombo Stock Exchange, Singer Sri Lanka announced that serving non-executive director Gavin. J. Walker has been appointed the company’s chairman with effect from Sept. 15.
Given the Rs. 10.9 billion consideration paid by Hayleys and two of its subsidiaries, Volanka and Carbotels which took 3.09% and 2.58% respectively against the parent’s 56.06%, a lion’s share of the net foreign inflow into the Colombo bourse was substantially reduced.
"We had a net inflow of over Rs. 23 billion into the CSE this year," an analyst said. "Now, Rs. 10.9 billion of that has gone out."
Unlike the Colombo deal where there was a single buyer for the biggest ever individual transaction on the CSE in recent times, where Singer Pakistan was concerned when 70.28% of the company was divested, it went to 13 different investors in various independent tranches.
Hayleys said that this strategic acquisition is expected to yield "substantial opportunities for new business synergies within the Hayleys group" and noted that Singer and they had over 280 years of experience in the Sri Lanka market.
Hayleys Chairman/CEO Mohan Pandithage called Friday’s deal a historic milestone for Hayleys established in 1878. "It is in alignment with our group’s growth oriented approach to the Sri Lankan market," he said. "We have been looking for a strategic partner to strengthen the group’s retail sector."
Singer now becomes a subsidiary of Hayleys which has agreed to take a further 9.47% of Singer (approx. 35.6 million shares) either by itself or through its nominees within the next 12 – 15 months.
Retail Holdings (Sri Lanka) BV, Singer’s previous Dutch parent, has agreed not to take up the forthcoming Hayleys mandatory offer to other shareholders of Singer giving Hayleys the leeway to make arrangements for funding the balance purchase.
Hayleys co-chairman and biggest shareholder, Mr. Dhammika Perera, said the acquisition was "no doubt the biggest in Sri Lanka." Calling Singer an "iconic and trusted brand," he expressed the belief that the "Hayleys Group will be able to leverage and amalgamate the expertise and know-how of two corporate giants and boost the group’s growth trajectory."
Asia Securities brokered Friday’s deal where confidentiality was the key. Up to Wednesday there were no rumors of the transaction. When the market buzz began the next day CSE requested a clarification and suspended trading of both Hayleys and Singer.
The Singer share price moved up Rs. 8.10 to close at Rs. 52.50 hitting a high of Rs. 53.50 on speculation but came down to Rs. 46 once the deal was done.
